1. Acceptance of Terms

This User Agreement (the "Terms") is a legal contract between you (acting as the administrator, business entity, or authorized employee) and JustInOut. By registering for a trial account, logging into our HRMS, or initiating payroll calculations, you agree to comply with all guidelines, restrictions, and rules specified in this document.

If you are signing on behalf of a company, you represent that you hold the legal authority to bind that business entity. If you do not accept these terms, you are not authorized to use the JustInOut software.

2. Subscription Accounts

To utilize our core modules, you must register a corporate workspace:

  • You agree to supply current, complete, and accurate information during registration and keep employee rosters updated.
  • You are solely responsible for protecting workspace credentials and administrator passwords. Any operation conducted under your workspace login is considered authorized by you.
  • We reserve the right to suspend or block access if we notice login sharing, suspicious account activity, or unauthorized API operations.

3. System Restrictions

You agree not to engage in any activity that conflicts with system availability or breaches standard user conduct:

  • Do not reverse engineer, copy, or attempt to crawl the source code of our platform.
  • Do not deploy automated scripts, scanners, or bot traffic that generates artificial load or bypasses rate limits.
  • Do not store or upload malware, malicious files, or defamatory employee records on our server databases.

4. Billing & Payroll Limits

Pricing details, user tiers, and billings are managed under specific guidelines:

  • Billing Structure: Services are billed monthly or annually per active employee profile. If you add staff members during a billing cycle, charges will be prorated.
  • Taxation Disclaimers: While our payroll engines are updated to reflect local taxation laws, it is the sole responsibility of the client's finance/HR department to audit and approve final calculations, tax filings, and banking deposits. JustInOut is not liable for filing penalties or tax filing mismatches.

5. SLA & Cloud Backups

We aim to deliver 99.9% uptime for our core software. However, maintenance windows, third-party network outages, or hosting errors may cause temporary downtime:

  • We conduct system maintenance during off-peak weekend hours and announce maintenance windows at least 24 hours in advance.
  • Customer databases are backed up continuously to multi-region cloud servers; however, we encourage managers to periodically export attendance sheets and payroll logs for internal archiving.

6. Intellectual Property

JustInOut retains all ownership, patents, trademarks, design elements, and copyrights related to our platform. We grant you a limited, non-exclusive, non-transferable, and revocable subscription license to use the software for your internal business operations. No intellectual property is transferred under this license.

7. Disclaimers & Liability

JUSTINOUT SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

IN NO EVENT SHALL JUSTINOUT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF REVENUE, DATA LOSS, OR BUSINESS INTERRUPTION arising out of the use or inability to use our platform.

8. Governing Law

These Terms shall be governed and interpreted under the laws of India, without regard to conflicts of law provisions. Any legal action, dispute, or lawsuit arising under these Terms shall be resolved exclusively within the courts located in Lucknow, Uttar Pradesh, India.
